Acknowledgment
These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

You understand that the Company does not permit individuals under 18 years old to use the Service except solely as a student using the Service via an Educational Institution.
You represent that You are either (a) an individual over the age of 18; (b) a student enrolled in an Educational Institution and completing CheckIn exercises assigned by your teacher; or (c) an Educational Institution.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.
Educational Use and School Official
When an Educational Institution authorizes CheckIn AI for classroom or administrative purposes, CheckIn AI acts as a school official performing institutional services under the direct control of the Educational Institution, including with respect to the use and maintenance of education records. We use Student Data only for the purpose of providing the contracted educational service, follow the Educational Institution’s instructions regarding that data, and do not disclose or re-use it except as the Institution directs or the law permits.
Parental Consent Through Schools
If students under 13 use the Service through an Educational Institution, the school represents that it has authority to consent on behalf of parents or legal guardians for CheckIn AI to collect, use, and disclose Student Data solely for educational purposes, as permitted by COPPA. The school must notify parents of such use and provide them with our Privacy Policy. We provide Educational Institutions with clear notice of our data collection, use, and disclosure practices so they can make informed decisions on behalf of their students.
User Accounts
Account Creation
To access the Service, You must create an account. When creating your account, You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of Your account and password and for restricting access to your computer or Device.
Account Use
You agree not to use the account of another user without permission. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Account Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach the Terms. Upon termination, Your right to use the Service will cease immediately.

Use and Disclosure of Student Data
We use Student Data only to provide, maintain, or improve the educational features of the Service. We do not:

Redisclosure Restrictions
We do not disclose or redisclose Student Data except (a) as directed by the Educational Institution, (b) to service providers bound by agreements requiring confidentiality, security, and no further redisclosure, or (c) as required by law. We use Student Data only to provide the Service or as expressly permitted by the Educational Institution under FERPA and COPPA. Any third-party receiving Student Data from Us is bound by the same restrictions that apply to the Company.
Data Retention and Deletion
We retain Student Data only for as long as necessary to provide the Service or as directed by the Educational Institution. Upon request of an Educational Institution, or upon termination of a teacher account, We will delete or return Student Data within a reasonable period consistent with applicable law. Deletion procedures are further described in Our Privacy Policy.
Rights of Parents and Educational Institutions
Parents and Educational Institutions may request access to, correction of, or deletion of Student Data at any time by contacting support@checkin-ai.com. We take commercially reasonable steps to verify the identity and authority of requestors before providing access to or modifying Student Data.
Security Measures
We implement commercially reasonable safeguards designed to protect Student Data against unauthorized access, loss, misuse, or disclosure. Any personnel or third-party service provider with access to Student Data must comply with these obligations.
Intellectual Property
The Service and its original content (excluding content provided by You or other users), features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

You are responsible for the content that You post on or through the Service, including its legality, reliability, and appropriateness. By posting content on or through the Service, You represent and warrant that:
Rights to Content
By posting content on or through the Service, You grant Us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such content on and through the Service. You retain any and all of Your rights to any content You submit, post, or display on or through the Service and You are responsible for protecting those rights.
Feedback & Assignment of Rights
You hereby assign to Us all rights, title, and interest in any Feedback You provide the Company. If for any reason, such assignment is ineffective, You agree to grant the Company, without further consideration, a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such Feedback without restriction. Limitation of Liability
To the fullest extent permitted by applicable law, the Company and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business interruption, or personal injury, arising from or related to Your use of the Service, even if We have been advised of the possibility of such damages.
In all cases, the total liability of the Company and its suppliers for any claim arising out of or relating to Your use of the Service or these Terms or the Service will not exceed the greater of the amount You paid to use the Service during the twelve (12) months before the event giving rise to the liability, or one hundred U.S. dollars (USD $100).
Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.

Governing Law
The laws of the Commonwealth of Massachusetts, United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.
Disputes Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at info@makeshiftedtech.com with “Dispute” in the subject line of the email.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make commercially reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new Terms, in whole or in part, You may not use the Website, Application or any part of the Service.
